The Legal & Corporate Affairs Manager is responsible for providing legal advice and counsel to Holland Dairy PLC on a wide range of matters, including contract drafting and negotiation, regulatory compliance, litigation, employment law, data privacy, corporate governance, and intellectual property. The role safeguards the company's legal interests, manages legal risks, represents the company in legal proceedings, oversees corporate legal documentation, and maintains effective relationships with government authorities, regulators, and external legal service providers
The role reports directly to the General Manager, providing independent legal advice and support across the organization. The position works closely with the Management Team on legal matters and participates in management meetings when required, however it is not a member of the Management Team.
Main Duties and Responsibilities
- Legal Advisory & Risk Management:
- Provide legal advice and guidance to the General Manager, management, and departments on business operations, legal risks, and compliance matters.
- Identify, assess, and mitigate legal risks while monitoring changes in legislation and regulatory requirements.
- Contract Management & Legal Documentation:
- Draft, review, negotiate, and manage contracts, agreements, and other legal documents to protect the company’s interests.
- Maintain an effective contract management system, including contract records, renewals, and legal documentation.
- Develop and maintain standard legal templates and contracting processes to improve efficiency and consistency.
- Litigation & Dispute Resolution:
- Represent Holland Dairy PLC in courts, tribunals, and legal proceedings where required.
- Manage disputes, legal claims, and external legal counsel to ensure effective resolution
- Compliance, Governance & Regulatory Affairs:
- Ensure compliance with applicable laws, regulations, corporate governance requirements, and internal policies.
- Manage company licenses, permits, registrations, statutory requirements, and expatriate legal documentation and maintain central, up-to-date repositories.
- Maintain effective relationships with government authorities and regulatory bodies.
- Uphold anti-bribery, anti-corruption, and integrity compliance in all dealings with government authorities, regulators, and third parties, and maintain the related policies, controls, and record-keeping.
- Draft and maintain board and shareholder resolutions, minutes, statutory registers, and corporate filings, keeping corporate records complete and up to date.
- Data Privacy & Legal Awareness:
- Ensure compliance with data privacy and information protection requirements.
- Develop legal awareness initiatives and provide training to employees on relevant laws, regulations, and compliance requirements.
- Corporate Affairs & External Relations:
- Manage relationships with external legal advisors, government institutions, regulators, and other stakeholders.
- Represent the company professionally on legal and regulatory matters.
- Legal Function Leadership & Strategic Support:
- Lead the legal & Corporate Affairs function, manage external legal service providers, and ensure effective legal operations.
- Provide legal support for strategic projects, business initiatives, and organizational changes.
- Perform other duties assigned by the General Manager or management team.
- Food Safety Management System (FSMS)
- Report any identified FSMS issues, risks, or non-conformities to the designated responsible person in accordance with company procedures.
